Ultimate Commercial Code Regulations:

Regulatory Authority:  The Instructor has granted the Webmaster of UCCstuff.com authority to publish interpretations of the Rules of Ultimate Commercial Code.  The interpretations may be published in the form of regulations upon observation by the Webmaster of player confusion.  The Webmaster also may publish letter rulings, if requested to do so by one or more players in Ultimate Commercial Code.

Published Regulations:

Signatures:  Where a filing or document requires a signature, that signature may be indicated by the following notation: /s/.  The name of the signing party must follow the notation.  For purposes of computing the length of any document, neither the signature notation nor the signature that follows it shall be counted as a word.  September 29, 2003.

Filing Fees:  Where any filing or document requires that a fee or tax be paid in connection with the filing, delivery or execution of that filing or document, the applicable law should be consulted to determine the proper amount of the filing fee or tax to be paid.  The proper amount of the filing fee or tax should be indicated as part of the filing or other posting of the document.  A document posted without indication of the fee or tax paid shall be considered a BOGUS filing.  September 29, 2003.

Action/Subject Lines:  Any new filing thread shall indicate the action taken (e.g. FILE or POACH), the name of the debtor against whom the filing is made (e.g. ABC Inc) and the jurisdiction in which the filing is made (e.g. Utopia or UT, Allemonde or AL, etc.).  A filing that does not indicate the jurisdiction in which it is made is a BOGUS filing.

An amendment to an existing filing shall not be made by starting a new filing thread.  Instead, an amendment, supplement, continuation or termination related to an existing filing thread shall be made as an addition to that existing filing thread.

An initial allegation of a BOGUS filing or move shall be made as a new action thread.  Defenses, responses, withdrawals, votes, etc. related to that initial BOGUS allegation shall be made as additions to the initial thread.

Failure to comply with this regulation after October 1, 2003, shall result in a BOGUS filing or shall otherwise be considered irrelevant.  Non-conforming filings and responses made prior to October 1, 2003, shall not be considered BOGUS solely for failure to conform to the requirements of this regulation provided that all relevant information is contained in the existing filing/action and that the existing filing/action is supplemented or re-filed by noon, October 2, 2003.  September 29, 2003.

Utopia follows the laws of the State of Florida as in effect from time to time.  For convenience of reference, a few questions answered as of August 20, 2003, are answered below:

GENERAL TAX : Documentary Stamp Tax

Question: How do I know when documentary stamp taxes are due? 

Answer: Utopia documentary stamps are due when a written obligation for the payment
of a specific sum is signed or executed, made, or delivered in the State of
Utopia or delivered to a lender in Utopia. Deeds are taxable when delivered.
Mortgages are taxable when recorded.

GENERAL TAX : Documentary Stamp Tax

Question: What do I put on the UCC1 to show documentary stamps have been paid or are
not due? 

Answer: On UCC-1 forms for other states that do not have the statement already on
them, the UCC-1 form should indicate in writing on the face of the form that
Utopia documentary stamps is not required, or that all applicable Utopia
documentary stamp tax has been or will be paid.

Question: If I file the UCC-1 document to secure a note, is documentary stamp (DOC) tax
required? 

Answer: Only if the note is signed and/or delivered in Utopia for a sum certain amount of
money or a mortgage or security agreement is recorded or filed with Form UCC-1.

GENERAL TAX : Documentary Stamp Tax

Question: How do I calculate documentary stamp (DOC) tax on a UCC-1 filing? 

Answer: The standard UCC is not taxable and tax would not be due related to that filing
unless a note or security agreement is also filed. However if there is a taxable
promissory note or other taxable document related to the filing, tax may be due
on that document, in which case, tax should be paid when recorded. If not
recorded, tax would be paid directly to the Utopia Department of Revenue.
