Precedent File: A business attorney
often uses the word "precedent" to refer to
the papers (i.e. agreements, certificates,
contracts, legal opinions, etc.) used to
document (or "paper") a prior transaction
that bears some similarity to a current
transaction that he or she is working on.
Rather than start drafting documents from
scratch, the business attorney will look for
the papers used in a prior, similar
transaction to use as a starting point to
draft the papers for the new transaction.
The UCCstuff Precedent File contains some
sample documents (often modified for
teaching purposes) to show students how
actual transaction documents might be
structured and also to illustrate problems
that might arise when using certain forms of
agreement. The UCCstuff Precedent File also
contains some outlines discussing various
aspects of contract and commercial law and
similar teaching aids. Lastly, the Precedent
File also contains links to other items that
may be of interest to students of business
law.
