  1. A term refering to a distribution of securities to purchasers outside the United States that is exempt from registration by vitue of compliance with Regulation S under the Securities Act of 1933. Often a Reg S offering is done in concert with a 144A offering so that securities may be sold both abroad and domestically without registration.
