Fee letter

  1. A term used to describe the letter agreement between a lead lender and a borrower setting forth the fees payable for arranging a credit agreement. The fee letter is kept separate from the commitment letter so that the financial details of the syndication arrangements can be kept secret from the potential syndicate members (who will all see the commitment letter). This enables the lead bank to keep more fees for itself.
